Terms of Service

1. Acceptance of Terms

By accessing or using the PROSPECTORI service (the "Service"), you agree to be bound by these Terms of Service. If you disagree with any part of the terms, you must not access or use the platform. These terms constitute a legally binding agreement between you and PROSPECTORI.

2. Account Registration & Security

To use the Service, you must create an account. You agree to provide accurate, current, and complete information, and to maintain the security of your password. You are solely responsible for all activities that occur under your account, regardless of whether the activities are authorized by you.

3. Credits, Billing & Refunds

PROSPECTORI operates primarily on a usage-based "credits" model. By purchasing credits, you agree to the following:

• Credit Exhaustion: Credits are consumed upon successfully "unlocking" a lead. Unlocked data remains accessible in your Workspace indefinitely.
• Non-Refundable: Due to the digital nature of the proprietary data provided, all credit purchases are strictly non-refundable once consumed.
• Payment Processing: Payments are processed securely via Stripe. PROSPECTORI reserves the right to suspend accounts with fraudulent or charged-back transactions.

4. Acceptable Use & Restrictions

You are granted a limited, non-exclusive license to use the data provided by PROSPECTORI for your internal business development and B2B outreach purposes. You explicitly agree NOT to:

• Resell, sublicense, or bulk-export data to build a competing database or lead-generation platform.
• Use the Service to transmit unsolicited spam in violation of the CAN-SPAM Act, GDPR, or other regional anti-spam legislation.
• Attempt to reverse-engineer, decompile, or otherwise discover the source code or proprietary algorithms of the platform.

5. Intellectual Property Rights

The Service — including its original content, logic, proprietary algorithms, and UI design — is and will remain the exclusive property of PROSPECTORI and its licensors.

The raw, public company data analyzed by the Service is the intellectual property of the respective website owners. PROSPECTORI claims no ownership over third-party trademarks or public factual data.

6. Indemnification

You agree to defend, indemnify, and hold harmless PROSPECTORI, its operator, and contractors, from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney's fees) resulting from: (a) your use and access of the Service, or (b) your violation of these Terms or applicable outreach compliance laws.

7. Limitation of Liability

IN NO EVENT SHALL PROSPECTORI BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (B) ANY UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

Total liability to you for any claim arising out of these Terms shall not exceed the amount paid by you to PROSPECTORI in the six (6) months prior to the event giving rise to the claim.
